Speakers will be recognized by the Chair at the time of the agenda item is to be considered by  
the Board. Comments will be limited to three minutes. The Brown Act prohibits the Board from  
either discussing or taking action on any non-agendized items.

Overview  
The Finance and Administration Committee of the Board of Directors of the Orange  
County Transportation Authority serves as an audit committee in its oversight of audit  
activities. Annually, the Board of Directors approves the audit responsibilities of the  
Finance and Administration Committee to reaffirm these responsibilities.

Overview  
The Internal Audit Department of the Orange County Transportation Authority has  
completed an audit of Board Member compensation, mileage reimbursements, and  
training requirements. Based on the audit, controls over processing compensation and  
mileage reimbursements are adequate and functioning, however, weaknesses were  
identified in notification and tracking of mandatory training requirements, and  
documentation and implementation of practices for determining Board Member eligibility  
to receive mileage reimbursements.

Direct staff to implement two recommendations provided in Board Member  
Compensation, Mileage Reimbursements, and Training Requirements, Internal Audit  
Report No. 26-507.

Orange County Transportation Authority Investment and Debt Programs Report -

Overview  
The Orange County Transportation Authority has a comprehensive investment and debt  
program to fund its immediate and long-term cash flow demands. Each month, the  
Treasurer submits a report detailing investment allocation, performance, compliance,  
outstanding debt balances, and credit ratings for the Orange County Transportation  
Authority’s debt program. This report is for the month ending December 31, 2025. The  
report has been reviewed and is consistent with the investment practices contained in the  
Board of Directors’ approved investment policy.

Amendment to Agreement for System Management and Business Analyst Support

Overview  
On February 13, 2023, the Orange County Transportation Authority Board of Directors  
approved an agreement with Carpe Datum to provide system management and business  
analyst support services for the various financial systems used by the Financial Planning  
and Analysis Department, for a two-year initial term, with three, one-year option terms.  
Board of Directors’ approval is requested to amend the agreement to exercise the second  
option term to continue services for an additional one-year period effective April 1, 2026  
through March 31, 2027.  
Recommendation(s)  
Authorize the Chief Executive Officer to negotiate and execute Amendment No. 3 to  
Agreement No. C-2-2575 between the Orange County Transportation Authority and Carpe  
Datum to exercise the second option term, in the amount of $319,000, to provide system  
management and business analyst support services, effective April 1, 2026 through March  
31, 2027. This will increase the maximum obligation to a total contract value of $999,340.

State Legislative Status Report

Overview  
The Orange County Transportation Authority provides regular updates to the Legislative  
and Communications Committee on policy issues directly impacting its overall programs,  
projects, and operations. This report includes a recommended position on legislation that  
would clean up definitions related to previous transit-oriented development legislation. An  
update is also provided on potential sponsor legislation related to charter bus service  
during special events. A summary is also provided on the Governors proposed fiscal year  
2027 state budget proposal.  
Recommendation(s)  
Adopt an OPPOSE UNLESS AMENDED position on SB 677 (Wiener, D-San Francisco),  
which would clean-up definitions related to previous transit-oriented development  
legislation, SB 79 (Chapter 512, Statutes of 2025).

Federal Legislative Status Report

Overview  
The Orange County Transportation Authority regularly updates the Legislative and  
Communications Committee on policy and regulatory issues directly impacting the  
agency’s programs, projects, and operations. This report includes a number of updates  
and information including an overview of the funding deal reached as it pertains to  
programs included in the Transportation, Housing and Urban Development appropriations  
bill and an update on the litigation between the State of California and the federal  
government regarding the California High-Speed Rail Project. Information is also provided  
on advocacy related to restoring the formula suballocation process for the State  
Transportation Block Grant Program and the Congestion Mitigation and Air Quality  
Program, as well as a summary on a federal determination of noncompliance for the State  
of California, which could result in withholding of transportation funds.

Overview  
The Orange County Transportation Authority, as the transportation planning agency and  
county transportation commission for Orange County, is responsible for developing  
estimates used in apportioning revenues earned and deposited in the Orange County  
Local Transportation Fund. Transportation Development Act regulations require that the  
apportionments for fiscal year 2026-27 be determined, and prospective claimants be  
advised of the amounts.  
Recommendation(s)  
Approve the Local Transportation Fund fiscal year 2026-27 apportionment estimates and  
authorize the Chief Executive Officer to advise all prospective claimants of the amounts of  
all area apportionments from the Orange County Local Transportation Fund.

Overview  
The Orange County Transit District is eligible to receive funding from the Local  
Transportation Fund for providing public transportation services throughout Orange County.  
To receive these funds, the Orange County Transit District, as the public transit and  
community transit services operator, must file claims with the Orange County  
Transportation Authority, the transportation planning agency for Orange County.  
Recommendation(s)  
Adopt Orange County Transit District Resolution No. 2026-009 authorizing the filing of  
Local Transportation Fund claims, in the estimated amounts of $205,036,189 to support  
public transportation and $10,869,295 for community transit services.

On July 14, 2025, the Orange County Transportation Authority Board of Directors approved  
the release of a request for proposals to select a firm for the development and  
implementation of real-time arrival signage at various bus stop locations. Board of  
Directors’ approval is requested to award an agreement for the Bus Stop Electronic  
Signage Expansion Project.

Approve the selection of Urban Solar Corporation as the firm to provide electronic  
signage for selected bus stop locations.

Corporation, in the amount of $1,537,918, for a five-year term, to provide electronic  
signage for selected bus stop locations.

Sole Source Agreement for the Purchase of Six Cummins Compressed Natural  
Gas-Powered Engines

Overview  
The Orange County Transportation Authority operates a fleet of six New Flyer compressed  
natural gas-powered buses, model year 2018, that require a midlife engine overhaul. The  
replacement engine has been certified by the State of California as a near-zero emission  
engine. Only one engine manufacturer is certified by the State of California to meet these  
emission standards for use in transit buses. Board of Directors’ approval is required for  
this sole source agreement.  
Recommendation(s)  
Authorize the Chief Executive Officer to negotiate and execute Purchase Order No.  
C255027 between the Orange County Transportation Authority and Cummins, Inc., in the  
amount of $463,697 for the purchase of six replacement Cummins 8.9-liter L9N 280HP  
compressed natural gas-powered engines.

Measure M2 Community-Based Transit Circulators Program Project

Overview  
Measure M2, the voter-approved half-cent sales tax for multimodal transportation  
improvements in Orange County, includes a program that funds community-based transit  
circulators known as Project V. The goal of this program is to provide local transit services  
that complement regional bus and rail service. Funding is awarded to local jurisdictions  
through a competitive call for projects. Local jurisdictions then implement the awarded  
services and are required to report on the performance of the Project V-funded services.  
This report covers the period from April 2025 to September 2025.

Due to sustained improvements in ridership and financial viability, approve an  
exception to the Project V program guidelines for the City of Dana Point to waive  
the requirement for city council action for falling below the performance standard in

State Transit Transformation Task Force Final Report

Overview  
The State Transit Transformation Task Force has submitted their final report to the  
Legislature. The December 2, 2025, report includes recommendations that address key  
issues such as transit service improvements, funding, fare coordination, workforce
